A person appointed by the University to the board of a controlled or an uncontrolled entity and includes the following categories:
| a | Council Director means a member of Council or Council sub-committee who is a Director of an entity; |
| b | Executive Director means a University employee who is a Director of an entity; and |
| c | External Director means an independent person who is a Director of an entity. |
